1. Acceptance of Terms

By downloading, installing, accessing, or using Lingotify ("the App"), owned and operated by Offbeat Tech ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, please do not use the App. Your continued use of the App following any modifications to these Terms constitutes your acceptance of such modifications.

2. Age Requirements

You must be at least 13 years old to use Lingotify. By using the App, you represent and warrant that you are 13 years of age or older and possess the legal authority to enter into this agreement.

If you are between 13 and 18 years old, you represent that you have obtained parental or legal guardian consent to use the App and agree to these Terms. Parents or guardians who consent to their child's use of the App agree to be bound by these Terms on behalf of the child.

3. Description of Service

Lingotify is a language learning application designed to help users learn and practice vocabulary through music, AI-generated songs, flashcards, quizzes, and interactive learning tools. The App offers both free and premium subscription tiers.

The App utilizes artificial intelligence technology to generate personalized learning content, including but not limited to AI-generated music and vocabulary exercises. The specific features, functionality, and availability of services may vary by subscription tier, region, and device platform.

We reserve the right to modify, discontinue, or enhance any features or services at any time with or without notice, subject to our obligation to provide reasonable notice of material changes that negatively impact existing subscribers.

4. User Accounts

Registration: To access certain features of the App, you must create and maintain a valid user account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for all activity that occurs under your account.

Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, including your username, password, and any authentication tokens. You agree not to share your account credentials with any third party and to notify us immediately of any unauthorized access to your account. You are responsible for all activities conducted under your account, whether authorized or unauthorized.

Account Termination: We may suspend, restrict, or terminate your account and your access to the App, in our sole discretion and without liability, if we determine that you have violated these Terms, engaged in prohibited activities, or otherwise pose a risk to the App's integrity, security, or user community. Upon termination, your right to use the App immediately ceases.

5. Subscription and Payments

Subscription Tiers:

Billing Process: All subscriptions are processed and billed through Apple App Store (iOS devices) or Google Play Store (Android devices). Billing occurs at the start of each billing period as selected during subscription setup. You authorize the applicable App Store to charge your selected payment method.

Auto-Renewal: Premium subscriptions automatically renew at the end of each billing period unless cancelled. To prevent automatic renewal, you must cancel your subscription at least 24 hours before the end of your current billing period through your device's App Store settings. Cancellation through the Lingotify App alone does not cancel your subscription; you must use your device's App Store settings.

Refunds: All refund requests are handled exclusively according to the refund policies of Apple App Store or Google Play Store, as applicable. We do not issue refunds directly; you must request refunds through your device's App Store. We are not responsible for App Store refund decisions or processing delays.

Price Changes: We reserve the right to change subscription prices with 30 days' advance notice. Price increases will take effect on your next renewal date. If you do not accept a price increase, you may cancel your subscription before the new price takes effect.

Trial Periods: We may offer free trial periods for Premium subscriptions at our discretion. Trial periods are subject to the terms specified at the time of trial signup. Failure to cancel a trial before expiration will result in automatic charging for the applicable subscription.

Billing Issues: If a charge fails or your payment method is declined, your subscription may be suspended or terminated. You remain responsible for resolving billing issues with your App Store account.

6. AI-Generated Content

Content Generation: Lingotify uses artificial intelligence technology from third-party providers (including but not limited to Suno AI for music generation and Gemini/OpenAI for vocabulary and content generation) to create personalized learning materials, including songs, vocabulary exercises, translations, and educational content.

Ownership and Usage Rights: All AI-generated content created through Lingotify is provided to you for personal, non-commercial educational use only. You acknowledge and agree that:

Content Quality and Accuracy: While we strive to provide accurate and high-quality AI-generated content, we make no warranties regarding the accuracy, completeness, or educational value of such content. AI-generated material may contain errors, inappropriate phrasing, or inaccuracies. You assume full responsibility for evaluating the accuracy and appropriateness of AI-generated content.

Third-Party AI Services: We use third-party AI service providers to generate content. Your use of the App entails the processing of data by these third parties in accordance with their terms of service and privacy policies. You acknowledge that we are not responsible for the operation, accuracy, or behavior of third-party AI systems.

Content Removal and Changes: We reserve the right to remove, modify, or regenerate AI-generated content at any time, including for legal compliance, safety, or quality reasons.

7. User Content

Ownership: You retain all ownership rights to any content you create within the App, including custom vocabulary lists, playlists, learning notes, and user-generated materials ("User Content").

License Grant: By creating and storing User Content within the App, you grant Lingotify a non-exclusive, worldwide, royalty-free license to access, store, process, reproduce, and display User Content as necessary to provide the App's services, including for backup, security, and operational purposes.

User Content Responsibility: You are solely responsible for the accuracy, legality, and appropriateness of all User Content you create. You warrant that your User Content does not infringe any intellectual property rights, violate any laws, or contain defamatory, obscene, or harmful material.

Data Deletion: You may delete User Content at any time through the App. Upon deletion, we will remove User Content from active systems within 30 days. However, backup copies may persist for longer periods in accordance with our data retention and disaster recovery procedures. You acknowledge that permanent, irreversible deletion of all copies may not be technically feasible.

8. Intellectual Property

The App, including its design, features, functionality, user interface, graphics, layouts, and all content (excluding User Content and AI-generated content provided to you for learning), is owned by Lingotify and its licensors and is protected by international copyright, trademark, patent, and other intellectual property laws.

9. Music and Third-Party Content

Third-Party Lyrics and Music: The App may reference, display, or incorporate lyrics, musical compositions, or other content from third-party sources for educational purposes. Lingotify does not claim ownership of, and is not responsible for, third-party music, lyrics, or other intellectual property.

Educational Use Disclaimer: References to third-party lyrics and music within Lingotify are provided strictly for educational language learning purposes and fall within fair use protections under applicable copyright law. Such use is not intended as a substitute for licensed music streaming or as commercial exploitation.

User Responsibility: You are responsible for ensuring that your use of the App and any content displayed therein complies with all applicable copyright laws, licensing agreements, and intellectual property regulations in your jurisdiction. You acknowledge that downloading, reproducing, or redistributing third-party music or lyrics outside the scope of the App's educational use may constitute copyright infringement.

Licensing: While we make reasonable efforts to ensure appropriate attribution and licensing of third-party content, we are not responsible for any intellectual property claims or licensing disputes involving third-party content referenced in the App.

10. Prohibited Uses

You agree not to use the App or its services for any of the following purposes:

11. Disclaimers

As-Is Provision: THE APP AND ALL SERVICES, FEATURES, AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Guarantees: Lingotify makes no representations or warranties regarding:

AI Content Quality: AI-generated content, including songs, vocabulary exercises, and translations, may contain inaccuracies, errors, or inappropriate phrasing. You acknowledge that AI is not a substitute for human expertise, professional instruction, or qualified language instruction. Reliance on AI-generated content for critical applications is at your own risk.

Third-Party Content: We are not responsible for the accuracy, legality, quality, or appropriateness of any third-party content, services, or links accessible through the App.

12. Limitation of Liability

Maximum Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LINGOTIFY, OFFBEAT TECH, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

Aggregate Liability Cap: NOTWITHSTANDING ANY OTHER PROVISION, LINGOTIFY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO LINGOTIFY IN THE 12 MONTHS PRECEDING THE CLAIM, OR IF YOU ARE A FREE USER, $100 USD.

These limitations apply to all theories of liability, whether based on contract, tort, negligence, strict liability, or any other legal theory, and regardless of whether Lingotify has been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Lingotify, Offbeat Tech, and their officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

We reserve the right to assume the exclusive defense and control of any claim indemnified by you, at your expense, in which case you will cooperate fully in the defense.

14. Termination

Termination by You: You may terminate your account and cease using the App at any time by deleting the App from your device and discontinuing use. To cancel a Premium subscription, you must cancel through your device's App Store settings at least 24 hours before your renewal date.

Termination by Lingotify: We may terminate or suspend your account and your access to the App, in our sole discretion and without liability, at any time and for any reason or no reason, including but not limited to:

Effect of Termination: Upon termination or suspension, your right to access and use the App and all services immediately ceases. Sections of these Terms that by their nature survive termination shall remain in effect, including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.

Data Upon Termination: We will make reasonable efforts to preserve your User Content for a limited period following termination, but we have no obligation to retain, return, or delete User Content. You are responsible for backing up any important User Content before termination.

15. Force Majeure

Lingotify shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, Internet service provider failures, or other force majeure events.

In the event of force majeure, we will make reasonable efforts to resume performance of our obligations and will notify users of any material service disruptions. However, extended outages may result in suspension or termination of services.

16. General Provisions

Severability: If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms without affecting the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire and exclusive agreement between you and Lingotify regarding your use of the App and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether written or oral. No course of dealing or trade practice shall modify these Terms.

Waiver: The failure of Lingotify to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Lingotify to be valid and binding.

No Third-Party Beneficiaries: These Terms are intended solely for the benefit of you and Lingotify and do not create any rights for any third party.

Electronic Communications: You consent to receive communications from Lingotify in electronic form, including email, push notifications, and in-app messages. You further consent to the electronic delivery of these Terms, policies, notices, disclosures, and all future legal documents related to your use of the App. You agree to maintain valid contact information in your account.

Assignment: You may not assign or transfer these Terms or your rights and obligations hereunder to any third party. Lingotify may assign these Terms or its rights and obligations to any successor, affiliate, or acquirer.

Interpretation: The headings in these Terms are for convenience only and do not affect their interpretation. The word "including" is not exclusive and means "including, without limitation." References to "days" mean calendar days unless otherwise specified.

17. Governing Law and Dispute Resolution

Governing Law: These Terms and your use of the App are governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law principles.

Jurisdiction and Venue: You irrevocably submit to the exclusive jurisdiction of the courts located in Istanbul, Turkey to resolve any dispute arising from or related to these Terms or the App. You waive any objections to venue or inconvenient forum.

Language: While the App may be available in multiple languages, these Terms are provided in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.

18. Changes to Terms

We may modify these Terms at any time in our sole discretion. We will notify you of significant changes by email or by prominent notice within the App. Changes become effective upon posting unless we specify otherwise. Your continued use of the App after posting modified Terms constitutes your acceptance of the modified Terms.

If you do not agree with any modification, your sole recourse is to cease using the App. We encourage you to review these Terms periodically to stay informed of any updates.
